Terms & Conditions
Last Updated: September 2026
1. Introduction
These Terms & Conditions govern the use of the Exoticut Machining LLC website and the provision of services by Exoticut Machining LLC. By using this website or engaging Exoticut for services, you acknowledge that you have read and agree to these Terms & Conditions, to the extent permitted by applicable law. These Terms & Conditions are intended to establish the general terms governing our business relationship with customers and clients. Specific projects may also be subject to a written quotation, proposal, purchase order, service agreement, or other written agreement between Exoticut and the customer. In the event of a conflict, the applicable project-specific written agreement will control to the extent of that conflict.
2. Services
Exoticut provides CNC machining-related programming, process development, manufacturing consulting, applications support, quoting assistance, and related technical services. Services may include CNC programming, process planning, tooling and workholding recommendations, cycle-time and cost analysis, manufacturing process development, and other services agreed upon between Exoticut and the customer. The specific services , deliverables, scope of work, timeline, and applicable fees for a project will be established through a written quotation, proposal, service agreement, or other written communication accepted by both parties. Exoticut may provide services using customer-owned or third-party equipment and facilities when agreed upon for a particular project. Unless expressly stated otherwise in writing, Exoticut does not represent that it owns, operates, or maintains a particular machining facility or piece of equipment. Exoticut reserves the right to decline work that falls outside its capabilities, available resources, safety requirements, or business interests.
3. Quotes & Estimates
Unless otherwise stated in writing, quotations and estimates provided by Exoticut are based on the information available at the time the quotation is prepared and are subject to change if project requirements or customer-provided information change. A quotation becomes a confirmed project agreement only when it is accepted by the customer and confirmed by Exoticut in writing, or when otherwise established through a mutually accepted purchase order, service agreement, or other written agreement. Quotes may specify and expiration date, estimated hours, quantities, deliverables, materials, tooling, outside services, or other assumptions. Exoticut may revise a quotation if material information changes before the quotation is accepted. Estimated cycle times, production quantities, material usage, tooling requirements, and other manufacturing-related calculations are estimates unless expressly guaranteed in writing. Actual results may vary based on equipment, tooling, material, setup conditions, operator practices, and other manufacturing variables. Customer requests for additional work, revisions, changes in scope, expedited work, or work outside the original quotation may result in additional charges. Exoticut will communicate material changes in scope or pricing to the customer when reasonably practicable.
4. Customer Responsibilities
The customer is responsible for providing complete and accurate information reasonably necessary for Exoticut to perform the agreed-upon services. This may include drawings, CAD files, dimensions, tolerances, material specifications, revision levels, quantities, inspection requirements, machine information, tooling information, and other applicable requirements. The customer is responsible for promptly notifying Exoticut of any changes to drawings, specifications, revisions, materials, equipment, or other project requirements that may affect the services being provided. The customer is responsible for ensuring that information, files, materials, equipment, and other resources provided to Exoticut are authorized for use and may be lawfully provided to Exoticut for the applicable project. Where Exoticut provides CNC programs, process recommendations, tooling recommendations, or other technical guidance for customer-owned or third-party equipment, the customer is responsible for reviewing and approving applicable work before production use. The customer is responsible for appropriate machine setup, verification, prove-out, operation, inspection, and adherence to applicable safety procedures unless otherwise agreed upon in writing. The customer is responsible for providing reasonable and lawful access to equipment, facilities, information, or personnel when such access is necessary to perform the agreed-upon services. Any applicable facility, safety, security, confidentiality, or access requirements must be communicated to Exoticut in advance.
5. Payment & Invoicing
Fees for Exoticut's services will be established through a written quotation, proposal, service agreement, or other mutually accepted written agreement. Unless otherwise agreed in writing, invoices are due according to the payment terms stated on the applicable invoice or project agreement. The customer is responsible for paying all undisputed amounts when due. If a customer believes an invoice contains an error or dispute, the customer should notify Exoticut promptly and provide reasonable details regarding the disputed amount. Additional services, revisions, changes in scope, expedited work, or other work requested by the customer outside the original agreed scope may be billed separately. Exoticut may suspend or delay services if undisputed invoices remain unpaid or if the customer fails to meet agreed payment obligations. Any such suspension will not waive the customer's obligation to pay amounts already due. Unless otherwise agreed in writing, the customer is responsible for any applicable taxes, fees, or third-party costs associated with the services.
6. Intellectual Property & Work Product
Unless otherwise agreed in writing, each party retains ownership of intellectual property, materials, designs, documents, software, processes, methods, know-how, and other materials that it owned or developed independently before a project. Subject to the customer's payment of all applicable fees, the customer may use project-specific deliverables provided by Exoticut for the purpose for which they were created and as otherwise agreed in writing. Unless otherwise agreed in writing, Exoticut retains ownership of its pre-existing tools, templates, methods, general know-how, programming techniques, processes, and other proprietary materials used in performing services. Customer-provided drawings, CAD files, models, specifications, documentation, and other materials remain the property of the customer or their respective owners. The customer grants Exoticut permission to use such materials solely as reasonably necessary to perform the agreed-upon services. Neither party receives ownership of the other party's intellectual property solely because it is used or referenced during a project. Any ownership, licensing, confidentiality, or usage rights that differ from these terms may be established in a separate written agreement between Exoticut and the customer.
7. Confidentiality
Each party may receive confidential or proprietary information from the other party in connection with a project. Each party agrees to use reasonable care to protect confidential information and to use such information only as necessary to perform or receive the agreed-upon services. Confidential information may include, but is not limited to, drawings, CAD files, CNC programs, process information, manufacturing methods, tooling information, pricing, customer information, business information, technical data, and other information identified as confidential or that reasonably should be understood to be confidential based on the circumstances.
Confidentiality obligations do not apply to the information that:
-
Is or becomes publicly available through no fault of the receiving party
-
Was lawfully known by the receiving party before disclosure
-
Is received lawfully from a third party without a duty of confidentiality
-
Is independently developed without use of the other party's confidential information
If disclosure is required by law, regulation, court order, or governmental authority, the receiving party may disclose the required information to the extent legally required. These confidentiality obligations do not prevent either party from using its general knowledge, skills, experience, and know-how that do not constitute the other party's confidential information. Additional or more specific confidentiality requirements may be established through a separate written confidentiality agreement or other project-specific requirement.
8. Warranties & Disclaimers
Exoticut will perform agreed-upon services in a professional and commercially reasonable manner consistent with the scope of work agreed upon with the customer. Unless expressly stated otherwise in a written agreement, Exoticut does not guarantee specific production results, cycle times, part quantities, machine performance, tool life, dimensional results, surface finish, or other manufacturing outcomes. Technical recommendations, CNC programs, process plans, estimates, and other deliverables are based on the information, equipment, materials, tooling, and requirements made available to Exoticut at the time the services are performed. Results may vary due to differences in machines, controls, tooling, materials, workholding, setup conditions, operator practices, machine condition, and other manufacturing variables. Unless otherwise agreed in writing, the customer is responsible for reviewing, verifying, testing, and approving CNC programs, process recommendations, and other technical deliverables before production use. The customer is also responsible for appropriate machine setup, prove-out, operation, inspection, and compliance, with applicable safety procedures. Exoticut does not warrant that services or deliverables will be uninterrupted, error-free, or suitable for a particular purpose unless such warranty is expressly provided in a separate written agreement. Nothing in these Terms & Conditions excludes or limits any warranty, right, or remedy that cannot legally be excluded or limited under applicable law.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Exoticut will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the services, including, without limitation, lost profits, lost production, lost business opportunities, downtime, loss of use, or loss of data. To the fullest extent permitted by applicable law, Exoticut's total aggregate liability arising out of or relating to particular project or service will not exceed the total amount actually paid to Exoticut by the customer for the specific services giving rise to the claim. The limitations in this section apply regardless of the legal theory on which a claim is based, including contract, negligence, warranty, or otherwise, except to the extent such limitation is prohibited by applicable law. Nothing in these Terms & Conditions limits liability that cannot legally be limited or excluded under applicable law.
10. Indemnification
To the fullest extent permitted by applicable law, the customer agrees to indemnify and hold harmless Exoticut Machining LLC and its owners, employees, contractors, and representatives from claims, damages, liabilities, losses, costs, and reasonable expenses arising from:
-
Customer-provided drawings, CAD files, specifications, materials, equipment, instructions, or other information
-
The customer's unauthorized use of Exoticut's deliverables or services
-
The customer's modification of, or deviation from, agreed-upon programs, processes, specifications, or recommendations
-
The customer's operation, setup, or use of equipment or processes outside the scope of Exoticut's agreed servies
-
The customer's violation of applicable laws, regulations, third-party rights, or contractual obligations.
The customer will not be responsible for claims to the extent caused by Exoticut's own negligent or wrongful acts. Nothing in this section requires either party to indemnify the other for liability that cannot legally be shifted or limited under applicable law.
11. Independent Contractor Relationship
Exoticut Machining LLC is an independent contractor and separate business entity. Nothing in these Terms & Conditions or in any project agreement creates an employment, partnership, joint venture, agency, or other similar relationship between Exoticut and the customer. Exoticut is responsible for determining the manner and means by which it performs its services, subject to the requirements and deliverables agreed upon with the customer. Exoticut may provide services to other customers and may determine personnel, subcontractors, tools, equipment, facilities, and methods used to perform its services, unless otherwise agreed in writing. The customer does not have authority to represent Exoticut, enter into agreements on Exoticut's behalf, or otherwise bind Exoticut unless expressly authorized in writing. Nothing in these Terms & Conditions prevents the parties from entering into a separate written agreement establishing additional project-specific requirements.
12. Governing Law
These Terms & Conditions and any dispute arising out of or relating to the use of the Exoticut Machining LLC website or the services provided by Exoticut will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. To the extent permitted by applicable law, any legal action or proceeding arising out or relating to the Terms & Conditions or the services provided by Exoticut will be brought in the state or federal courts located in Florida, and the parties consent to the jurisdiction of those courts. If a separate agreement between Exoticut and a customer contains different governing-law or dispute-resolution provisions, those provisions will control for the applicable project or matter.
